Affiliate program terms.

These terms govern the Nitrosend affiliate program. You agree to them when you accept an invitation, share a referral link, or receive a commission.

1. The deal

• Free Pro for life. As an affiliate you get the Nitrosend Pro plan ($20/mo value) free, for life.
• 100% on Pro referrals. You earn 100% of the first-year revenue from any Pro plan you refer.
• 20% on Ultra and above. You earn 20% lifetime (ongoing, for as long as they stay subscribed) on any Ultra or Enterprise plan you refer.

2. Acceptance and eligibility

The Nitrosend affiliate program (the "Program") is operated by Nitrosend Pty Ltd ("Nitrosend", "we", "us", or "our"). A person or entity accepted into the Program is an "Affiliate", referred to here as "you".

You agree to these terms at the earliest of the following: accepting a Program invitation, submitting an application, sharing or publishing a referral link, or receiving any commission. If you do not agree, do not take part.

• You must be at least 18 and able to enter a binding contract.
• Participation is by approval. We may approve, decline, or remove any applicant at our discretion.
• Your account is personal to you. You may not transfer, sell, or assign your account, links, or commissions without our written consent.

3. Commission

• Pro plan referrals. 100% of the referred customer's paid Pro subscription revenue during their first 12 months. No cap.
• Ultra and Enterprise referrals. 20% of the referred customer's paid subscription revenue, lifetime, for as long as that customer keeps an active paid subscription.
• How it is released. Across the customer's paid months as it accrues, not as an upfront lump sum.

Commission is calculated on net subscription revenue actually received by Nitrosend. That excludes taxes, payment-processing fees, chargebacks, refunds, and credits. One-off charges, add-ons, and overage fees are not commissionable unless we agree otherwise in writing.

We may change commission rates or structure going forward, with at least 14 days' notice. A change applies only to referrals acquired after it takes effect, and never reduces commission already earned on your existing referred customers.

4. Tracking and attribution

• Your link. You promote Nitrosend with your personal referral link (e.g. nitrosend.com?via=yourcode). Tracking and payouts run through Rewardful, where you manage your link and see your referrals.
• Cookie window. A referral is credited to you when the customer signs up within the tracking window of clicking your link, on the same browser, without clearing cookies.
• Last touch wins. Where a customer clicks more than one affiliate's link, the most recent valid click inside the window gets credit.
• Rewardful is the system of record for clicks, conversions, and commissions. Where our records differ from yours, ours apply unless there is clear evidence of a tracking error.

5. When commission is earned

A referral becomes earned, payable commission once the referred customer subscribes to a paid plan through your link and that payment is received and clears the refund window below. We may withhold or reverse any commission we reasonably suspect is fraudulent or in breach of these terms while we review it.

6. Refunds, chargebacks, and clawback

• If a referred customer is refunded or issues a chargeback within 30 days of a commissionable payment, the related commission is reversed.
• Where the reversal happens after payout, the amount is deducted from your next payout. If no further payout is expected, it is invoiced back to you.
• Commission is also reversed where a subscription is later found to be fraudulent, duplicate, or in breach of these terms.

7. Fraud and prohibited conduct

The following void the affected commissions, and may lead to immediate removal from the Program and forfeiture of your pending balance:

• Self-referrals. Referring yourself, your own accounts, your household, your employees, or any account you control. A conversion that shares a payment method, IP, device fingerprint, or billing identity with the Affiliate is treated as a self-referral.
• Incentivized or fake traffic. Paying users to sign up, fake accounts, bots, cookie stuffing, forced clicks, or any other artificial inflation of clicks or conversions.
• Paid brand bidding. Bidding on "Nitrosend" or confusingly similar terms in paid search, or running ads that impersonate Nitrosend or imply you are Nitrosend.
• Spam. Unsolicited bulk email, SMS, or messaging, or any outreach that breaches anti-spam or consumer-protection law.
• Misrepresentation. False, misleading, or unsubstantiated claims about Nitrosend, its pricing, features, or results, and any off-brand, illegal, or deceptive promotion.

We may hold or reject any conversion we reasonably suspect is fraudulent, including one that shares an IP, payment method, or device fingerprint with the referring Affiliate, while we review it.

8. Promotion and honest reviews

• Disclose your affiliate relationship clearly wherever you promote Nitrosend, as the FTC and equivalent local rules require. Use rel="sponsored" on affiliate links and a visible disclosure such as "affiliate" or "paid partnership" on the content itself.
• Honest reviews are welcome and expected. You are free to share genuine opinions, criticism included.
• You may use the Nitrosend name and current brand assets only to promote Nitrosend honestly, and only as we provide or approve them. Do not modify the logo, register confusingly similar domains or handles, or use the brand in a way that implies endorsement of unrelated products.
• Customer discounts and coupon codes may only be offered where we have issued them to you. Do not publish Nitrosend codes on coupon or deal-aggregator sites without our written approval.

9. Payouts

• Method. Via Rewardful, paid out by PayPal or Wise to the account on your Rewardful affiliate profile.
• Cadence. Monthly, for commission that is earned and cleared as at the payout date.
• Currency and fees. Paid in USD unless we agree otherwise. Payment-provider and currency-conversion fees are yours.
• Taxes. You are responsible for all taxes on your commissions, and for giving us any tax information we are required to collect.

Keep your payout details accurate in Rewardful. We are not liable for payments sent to an outdated or incorrect account you supplied. Commission left unclaimed because of invalid payout details for 12 months may be forfeited.

10. Term, suspension, and termination

• Either party may end participation at any time, for any reason, on written notice. Email is sufficient.
• We may suspend or terminate your account immediately, and withhold or forfeit pending commission, if you breach these terms or do anything covered by Section 6.
• On termination without breach, commission already earned and cleared is paid at the next scheduled payout, subject to the refund and clawback windows.
• Your referral links and codes are deactivated on termination. Any referral attributed after deactivation does not earn commission.

11. Relationship, liability, and changes

• Independent contractor. You take part as an independent contractor. Nothing here creates employment, a partnership, a joint venture, or an agency, and you may not bind or speak for Nitrosend.
• No guarantee. The Program is provided as is. We do not promise any level of traffic, conversions, earnings, or uninterrupted availability of the Program or its tracking.
• Liability cap. To the maximum extent the law allows, our total liability to you arising out of the Program is limited to the commission paid or payable to you in the 6 months before the claim, and we are not liable for indirect or consequential loss.
• Updates. We may update these terms. Material changes take effect on the stated effective date, and continuing in the Program after that date is acceptance. The date at the top of this page identifies the current terms.

12. Governing law and contact

These terms are governed by the laws of the State of Victoria, Australia, and the parties submit to the exclusive jurisdiction of its courts. If any provision is found unenforceable, the rest stays in effect.
